Terms and Conditions of Sale

1. Purpose

These Terms and Conditions of Sale define the conditions under which CPX CONSULTING provides access to the CPX AI Platform and associated services.

2. Services

CPX AI Platform is a multi-tenant SaaS platform offering in particular:

• an AI documentary assistant;
• an intelligent CRM;
• AI-assisted customer support;
• SEO content generation;
• quote generation;
• sales automation;
• a unified AI copilot;
• contract generation;
• booking tools;
• company enrichment;
• AI video generation;
• and, more generally, the modules presented in the current catalog.

Features may evolve at any time.

3. Order

Subscription takes place:

• via the registration form;
• via the client portal;
• or via a Stripe payment session.

Any order implies full acceptance of these Terms and Conditions of Sale.

4. Price

Applicable prices are those displayed at the time of order.

They are expressed in euros, excluding tax or all taxes included, depending on the display shown to the client.

CPX CONSULTING reserves the right to change its prices for new subscriptions.

5. Payment

Payments are secure and processed via Stripe.

The client authorizes Stripe to charge the amount corresponding to the subscription or service ordered.

Any payment default may result in the suspension or termination of access to the services.

6. Term and subscriptions

Subscriptions are taken out for the period indicated at the time of order.

Unless otherwise stated in the commercial offer, they are automatically renewed until cancellation.

The client may request cancellation according to the terms provided in their client area or through support.

7. Service availability

CPX CONSULTING strives to ensure the availability of the platform.

However, no uninterrupted availability can be guaranteed.

Maintenance operations or technical incidents may cause a temporary interruption of the service.

8. Client obligations

The client agrees to:

• provide accurate information;
• preserve the confidentiality of their access credentials;
• comply with applicable laws;
• not use the platform for unlawful purposes;
• not attempt to circumvent security mechanisms.

9. Intellectual property

All elements comprising the platform remain the exclusive property of CPX CONSULTING or its partners.

No ownership right is transferred to the client.

10. Artificial intelligence

Content generated by artificial intelligence systems is provided for assistance purposes.

The client remains responsible for verifying, validating, and using the results produced.

CPX CONSULTING does not guarantee the absence of errors in the generated content.

11. Limitation of liability

CPX CONSULTING's liability may only be engaged in the event of proven fault.

In any event, CPX CONSULTING's total liability is limited to the amount paid by the client over the past twelve months.

12. Force majeure

Neither party may be held liable in the event of force majeure within the meaning of French law.

13. Applicable law

These Terms and Conditions of Sale are governed by French law.

14. Disputes

In the event of a dispute, the parties shall seek an amicable solution before any legal proceedings.

Failing an amicable agreement, the competent courts of the Nancy jurisdiction shall have jurisdiction, subject to applicable mandatory legal provisions.
